C O N S T I T U T I O N
ARTICLE I
NAME The Club is hereby named and hereafter shall be known as CYBER-HUNTERS OF KENTUCKY

ARTICLE II

OBJECTS

The objects of this Club are as follows:

(1) To maintain the honor, dignity, and ethics of good sportsmanship among the members of this Club.

(2) To retain active membership in the League of Kentucky
Sportsmen and through our joint efforts and in conjunction with the Kentucky Department of Fish and Wildlife, promote a constructive program for better hunting and fishing and the development of the natural resources of Kentucky so that it may again become "The Happy Hunting Ground" and the "Fisherman Paradise" and the Mecca of all true sportsmen.

(3)To promote the strict observance of all game and fish laws of the Commonwealth of Kentucky and lend full cooperation to the Department of Fish and Wildlife in bringing to justice persons guilty of the willful violation of such laws.

(4)It shall be the purpose of this Club to be an open membership club, to link together via electronic communication, Sportsmen of the State of Kentucky. The purpose shall be to gather Sportsmen’s opinions to better promote a constructive program for better hunting and fishing in the State of Kentucky.

(5)To do any and all things necessary, proper and requisite to fully carry out the objects and purposes of this Club as herein enumerated. To give and assist in scientific study and to take constructive action in developing the natural resources of the State of Kentucky. To work in cooperation with the Department of Fish & Wildlife to ensure these objects and purposes are fulfilled.

ARTICLE III

GOVERNMENT OF THE CLUB

The management and control of all the business of Cyber-Hunters of Kentucky shall be and is hereby vested in a Officers and Members of the Club.

(1) OFFICERS
The Officers shall be a President, Vice President, a Secretary/ Treasurer and Sargent at Arms. Their Term of Office shall be two years. They may be elected for succeeding years. They each shall have one vote.

(2) MEMBERS
They shall each have one vote.

(3)VOTING ON ISSUES CONCERNING CYBER-HUNERS OF KENTUCKY
All Officers and Members shall be permitted to vote on items concerning this Club. The President shall be the presiding Officer of all voting for the Club. The Vice President of the Club shall presided over voting procedures in the absence of the President. The President and Sargent at Arms shall act as moderators. In the event of the absences of both President and Vice President, the Sargent at Arms shall act as presiding Officer. The Secretary/ Treasurer of the Club shall act as Secretary and be responsible for accounting of the Clubs finances. The Presiding officer shall vote only in the event of a tie vote in which case his vote will be the deciding vote.

(4) QUORUM
One Officer and ten(10)Members shall constitute a quorum for the transaction of all business.

ARTICLE IV

FISCAL YEAR

The Fiscal Year of this Club shall begin at 12:01 AM January
1 of each year and close at 12:00 o'clock Midnight December 31st of each year.

ARTICLE V
REGULAR ANNUAL MEETINGS

The regular Annual meeting of the Club shall be held on the
first week in August of each year. This will be the election of Officers.

ARTICLE VI

NOMINATION AND ELECTION OF OFFICERS

(1)At the August annual meeting, the membership shall elect Officers following to format of:
Even numbered years, President and Vice President.
Odd numbered years, Secretary/ Treasurer and Sargent at Arms.

ARTICLE VII

MEETINGS AND VOTES

(1)This Club shall meet and vote via the Internet on all items
concerning this Club. The procedures and time shall be set under the By-Laws of this Club.

(2)It shall be the duty of each Officer and Member of the Club to participate in the discussion, voting and general business of the Club

(3)The members shall fill all vacancies, ad interim, except Delegates and Alternates to the League of Kentucky Sportsmen, but tenure of office so filled shall not extend beyond the regular term.
Delegates and Alternates to the League of Kentucky Sportsmen shall be appointed by the President of the Club.

ARTICLE VIII

QUALIFICATION OF MEMBERS

(1)This Club shall be the sole judge of the qualification of its members.

(3)Any member failing or refusing to pay his annual dues for a
period of thirty days after due and payable shall be dropped from membership. Should a member be dropped for non-payment of dues, desire to renew his membership, he must file application as a new member.

ARTICLE IX

TRIAL COMMITTEE

(1)The Club does hereby constitute the Officers of this Club as a Trial Committee with full power to hear and determine all grievances and complaints between the Club and its members.

ARTICLE X

FRIENDS AND SPONSORS

This Club may provide by law for the proper recognition and
acknowledgement of all valuable services or financial aid
voluntarily given by individuals, civic clubs, organizations and
business firms solely as friends and sponsors of the programs of
the Cyber-Hunters of Kentucky, but such friends and sponsors
shall possess no voting power in the affairs of the Club.

ARTICLE XI

DUES

The Club shall fix by law the amount of the annual dues to be
paid by its members.

ARTICLE XII

RELIGION AND POLITICS

This Club shall be conducted upon a strictly non-partisan basis and no action shall be taken upon any religious subject or
endorsement given to any political party or candidate. However,
this Club shall permit full discussion of the platform of
political parties and individual candidates pertaining to the
Commission on Wildlife Resources and the Department of
Conservation, now conducted as a non-partisan agency of our State
Government, and may endorse or oppose any measures or movements
affecting said agency and the wildlife and conservation programs
of this Club.

ARTICLE XIII

RIGHT TO ENACT BY-LAWS

The Club shall have the full power to enact any and all By-laws necessary for the proper conduct of its business which are not in conflict with the spirit and letter of this Constitution. The Club shall define by law certain specific duties of the President, Vice President, Secretary/Treasurer and Sargent at Arms. The Club may provide by law for the appointment of all necessary regular and special committees and fix their terms and define their duties and provide for their removal.

ARTICLE XIV

AMENDMENTS OF CONSTITUTION AND BY-LAWS

A club member may offer an amendment in writing to the Club
Constitution or By-Laws by posting it at the Clubs discussion Forum, having it seconded, discussed and voted; a majority vote of the members present is required for preliminary acceptance.
If accepted the amendment must then be posted again, no sooner than 7 days after the preliminary acceptance and no later than 21 days after the preliminary acceptance. At the second posting the amendment is discussed and voted. A two-thirds majority vote of the members present is required for passage of a Constitutional amendment. A majority vote of the members present is required for passage of a By-Law amendment. If a Constitutional amendment fails to carry, it shall not be offered again for a period of 6 months. If a By-Law amendment fails, it shall not be offered again for a period of three months.
An amendment to the Constitution or By-laws shall take effect at the time at which the amendment was passed.

ARTICLE XV

ADOPTION OF SEAL

This Club may provide by law for the adoption of a seal bearing the name "CYBER-HUNTERS OF KENTUCKY" to be affixed by the Secretary to all letters and documents required to be signed by the President or by the Secretary/ Treasurer.

ARTICLE XVI

MEMBERS TO HAVE NO VESTED INTEREST IN PROPERTY OF CLUB

Upon the death, suspension, expulsion or voluntary withdrawal of
any member from the Club, he shall lose and forfeit any and all rights, privileges and interest which he may theretofore have had as a member in, and to all benefits, assets and properties of this Club and same shall immediately vest in Cyber-Hunters of Kentucky.


ARTICLE XVII

EFFECTIVE DATE OF CONSTITUTION

This Constitution shall take effect immediately upon its adoption by the Cyber Hunters of Kentucky, and thereafter any Constitution heretofore enacted by the Club shall become null and void. The rights of this Club and each member thereof shall be fixed and determined by this Constitution and By- Laws, subject to all repeals, changes, amendments and conditions that may from time to time be made by this Club.


B Y - L A W S

ORDER OF BUISNESS

SECTION 1

The order of business of this Club shall be as follows:
(1) Posting of Subject in Open Forum
(2) Discussion in Open Forum
(3) Call for vote if required
(4) Posting of Subject in Members Forum
(5) Voting
(6) Actions as required

This order of business may be changed or any part dispensed with
by a vote of a majority of the members present.

DUTIES OF OFFICERS

SECTION 2

PRESIDENT

It shall be the duty of the President to preside at all meetings
and voting of this Club, enforce a strict observance of the Constitution and By-Laws and exact rigid compliance to the rules and customs of this Club, to see that all Officers perform
their respective duties, give the deciding vote on all matters
before the Club when a tie may occur, except at the election of Officers, direct the Secretary to forward correspondence as required.
The President shall act as Moderator of voting discussions.

The President shall appoint Committees as may be
deemed necessary and expedient to carry out the programs of this
Club. He shall perform such other duties as the Club and his office shall require.

VICE PRESIDENT

It shall be the duty of the Vice President to fulfill the duties of President in his absence. The office of Vice President is to assist the president in any events. The Vice President along with the President will verify any votes that are cast. Also in the absence of the President the Vice-President shall have full authority regarding any matters other than what must be cast to a vote.

SECRETARY/ TREASURER

It shall be the duty of the Secretary/ Treasurer to keep a fair and impartial record of the proceedings of the Club, conduct the
correspondence of the Club. He shall prepare and post a summarization of the years events Annual Meeting of the Club.
The Secretary of the Club shall maintain all adopted Policies of the Club, with the Constitution and By-Laws of the Club.

It shall also be the duty of the Secretary/ Treasurer to keep just and true accounts between the Club and its members, and upon payment of the annual dues validate his membership, he shall receive all moneys due the Club, credit the accounts paid, and issue proper receipts. Therefore and thereafter deposit in the bank designated as the depository by the Officers in the name of the Cyber-Hunters of Kentucky all moneys collected by him, he shall pay all orders drawn on him by vote of the Club, when properly attested by the President, and he shall pay all bills authorized, approved or ordered paid by the Officers. All bills shall be paid by check of the Treasurer, as directed by the President. He shall submit to the Club monthly statements of all receipts, expenditures and balance on hand. He shall keep his books and papers at all times in readiness for inspection by the Officers, or other persons authorized to make such inspection by the Club. He shall prepare a full and complete report and submit same at the Annual Meeting of the Club showing all funds received and expended during his term. He shall deliver up to his successor in office all moneys, books, papers, and other property of his office belonging to the Club. He shall perform such other duties as may be directed or required of him or his office.

SARGET AT ARMS

The Sgt. at Arms will be responsible for the security of functioning of the web site. He will advise the officers as well as members on cyberspace matters. In the absence of the President and Vice President the Sgt. at Arms will have full authority on matters and decisions regarding the function of the site not requiring a vote.
The President shall act as Moderator of site discussions. He shall perform such other duties as may be directed or required of him or his office.

SECTION 3

DUES

The annual dues of members of this Club shall be Ten ($10.00) Dollars and shall be payable January 1.

SECTION 4

SUSPENSION AND EXPULSION OF MEMBERS

TRIALS

Any member of this Club accused of dishonesty, conduct
reflecting discredit upon this Club, or conduct that threatens the safety of Club members shall be brought up on charges to the Officers sitting as a trial committee. The accused member shall be given ten (10) days to respond to the charges via e-mail. If found guilty of such charge, may be suspended for an indefinite period, at the discretion of said trial committee.


SECTION 5
SEAL

The Club shall adopt a seal bearing the name "Cyber-Hunters of Kentucky".
SECTION 6

RULES OF DISCUSSION

Discussion concerning items of the Club shall be made on the Open Forum. Items requiring resolution shall be moved to the Closed section of the Clubs forum. Any member can call for a vote on an item. The Call to vote shall require a second by another member.

SECTION 7

RULES OF VOTING

Items requiring a vote of this Club shall be placed in the Closed section of the Forum. The item shall be placed in the form of a motion that is clearly stated. The item will either be voted up or down. If changes are made to motion they must be accepted by the person that made the motion and voting shall start over from the time of change. The voting window shall remain Open for a period of seven (7) days. The votes will be tabulated by the President and verified by the Vice President.

SECTION 8

EFFECTIVE DATE OF BY-LAWS

These By-Laws shall take effect immediately upon their adoption
by the Cyber Hunters of Kentucky, and thereafter all By-Laws
heretofore enacted by this Club shall become null and void.
The rights of this Club and each member thereof shall be fixed
and determined by the Constitution and By-Laws, subject to any
and all repeals, changes, amendments and additions that may from
time to time be made by this Club.

SECTION 9

IMPEACHMENT

Should any officers behavior in office be so detrimental to the Club as to require intervention or should he/she be found guilty of those offenses listed under trial, section 4, impeachment proceedings may be instituted. He/she must be accused, tried by the Officers sitting as a trial committee . The accused Officer shall be given ten (10) days to respond to the charges via e-mail. If found guilty of such charge, impeachment shall be recommended. This impeachment must be ratified by at least two thirds majority of the general membership, present and voting, under the guidelines in Section 7. If Impeached said office shall then be filled as per section 3, ARTICLE VII of the constitution.

Multi - One item I was wanting to change was QUORUM, make it 1 officer and 10 members.

Also, we need to come to agreement on how we vote.

As far as I'm concerned, what you have in there is fine. If someone wants to change it, they can move to do so, and see if they get a second. I realize that this is going to present a problem for the up-coming Commission meeting. Can we aive the rule for this one time???

I have a question, Article III, Section 1 states the officers shall have one vote.Article III, section 3 then says the presiding officer will vote ONLY if there is a tie. So do they get to vote or not? Do they get to vote twice in the case of a tie?

GSP, I think for voting it should go down something like this.

1. The title of the issue to be voted on as the thread title ( just so dummies like me know what we're voting on)
2. Every member gets one response. either a yeah or nay. Not a long drawn out explaination of why they think this or that. JUST A YES OR NO.
3. The officers then go thru and tally them up and give us the results. You as officers must also post your voting decision. A tally of XX amount for and XX amount against should be posted so the members can do a checks and balance against the numbers of those that posted.

Mr Bow Hunter I think what happens is the officer over seeing the vote will only vote in case of a tie. meaning the other officers can vote on the issue one time.

The way I read it, the Prez. shall participate in the discussion, then withhold his vote until last. If the regular members tie, his vote will break the tie. In the event that we vote on anything when the Prez, is out, the n the vice prez. will be the deciding vote. In that case, I don't have a problem with waiting till last to vote. I think the bylaws will work.

Do we need to vote to accept them or are they in effect? Please comment.

The part I disagree with is the 7 day waitting period I perfer a 48 hr time zone. This will help on issue that just pop up as these have,(baitting, split season etc.).

Might I add one item to what you have sofar that might have been overlooked.

I see in your bylaws there is no provision for dispersal of club property (including bank accounts) just in case the club disolves.

I helped set up the bylaws for our home owners association when it was first started an this one of the main items we had questions on.

I think we should vote them in with the change of QUORUM to:
10 (ten) members, 1 (one) must be an Officer.

Also there was some questions regarding to length of voting. Y'all decied how long you think the voting window should remain open.
I think a week is fair for everyone to get a chance to see what is posted.

Multi- If y'all decided to vote on these. I can post a clean copy on the site. This one has a couple of cosmetic errors.

Mr. B, most orgs run with this rule that the Prez only votes when there is a tie. It is a good way to eliminate ties.

In the event of dissolution of the Club, the assets of the Club, after payment of all debts and obligations, shall be assigned to any institution primarily engaged in the conservation, preservation and restoration of natural resources or to any educational program promoting shooting sports. The Officers at the time of dissolution shall act as governors concerning the disposition of all such holding.

If y'all think the 7 days are fine. I would like to post a clean copy in the form of a Motion that we accept this as amended above (Quorum).

Duster good question, by this being a program by the Paintsville Recreation Department the Director would be in charge of over seeing that money and it would be directed into some type of conservation program with in the state. The Ky. Grouse Hunters are also a dept. program and if for any reason they desolve that's where their proceeds will go. We also host two other Clubs The Ky Squirrel Hunters, and the Ky. Mountain Saddle Club both of these are set up in the same manner.

Birdman, will this be a non-profit organization, I see nothing pertaining to the facts that officiers will not be paid a fee or anything pertaining to reimbursement of expenses??? Just a few items that made note of?? If it is a non-profit corp then is it under the Recreation board and will any or part of the moneies being collected be used for anything other than the CyberHunters??

Highbow and anyone else that has any concerns the only reason the recreation dept. is involved is to save this organziaton money and time. By using our dept. we won't need to incorp., have any type of libility ins. or any other legal activity. Because we have that covered through our dept. As far as the money no everything will be kept in Grayson with Mark Rogers. The only way our dept. would get involved with the money would be if we desolve, and maybe not then.

We talked about what the money would be used for earlier, (LOKS, Mailings, and reinburstment for officers or appointies to attend commisssion meeting etc. IF we had money left over we would help conservation group in any way possible. At least this is what I thought we decussed.

i'm with birdman on the seven days. 48 hrs is plenty of time to get a vote.most of us are on here more than once a day.if the club dissolves how about giving the money to hunters for the hungry?

I'm back and trying to get caught up on this. I think they are fine and if I only vote as needed for a tie breaker that's fine as well. I voted on our 4 issues before I read this but it does not matter on the count anyway as there are no ties.

Money dispersed to outdoor organizations in event of failure is fine.

Expenses incurred by officers or members who fill in for officers i.e. discs, paper postage etc. is fine. Books will be available to all members. Sec. can post on the site the figures.

Voteing times should be a time frame of 4 days with a provision of an "emergency" 48 hr vote which can be declared by presideing officer in case of an event like this week. This will allow for those to participate if they have PC problems. 4 days is time at least to get someone to vote proxy.

Looks good guys, we are makeing progress. Thanks for all of the hard work in my absense.

I hope we vote on this by the end of this week. We need to get this under our belts. Opinions and thoughts are welcome folks......Rick.
